These Terms & Conditions (“Terms”) govern your access to and use of this website and your purchase of any Userless product. This website and its products are operated by Apparate Pty Ltd (ABN 47 686 157 559) (“Userless”, “we”, “us”, “our”). By using the site or buying a product, you agree to these Terms. If you don’t agree, please don’t use the site.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use this site or buy our products. By purchasing, you confirm the information you provide is accurate and that you’re buying for your own use.

2. The product

Userless sells digital educational products — including the Userless Audit, worksheets, templates, swipe files, playbooks and bonus materials (the “Product”). The Product provides information, frameworks and templates to help you take a product or app to market. It is educational only and is not financial, legal, tax, investment or professional advice, and does not guarantee any particular result (see the Earnings & Results Disclaimer).

3. Licence & restrictions

On purchase, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Product for your own business. You may adapt the templates for your own products and campaigns. You may not:

• resell, sub-license, rent, lend or redistribute the Product or its files;
• claim private label or resale rights, or give the Product away;
• share your access, logins or downloads with others; or
• reproduce the Product to create a competing product.

4. Pricing & payment

Prices are shown on the site and may change at any time; promotional or pre-launch pricing is available only for as long as stated and may be withdrawn. The currency in which you are charged is shown at checkout. Payment is processed securely by our third-party payment processor — by purchasing, you also agree to that processor’s terms. You’re responsible for any taxes that apply to you unless we’re required to collect them.

5. Access & delivery

The Product is delivered digitally, generally immediately after successful payment, by email and/or an access link. It’s your responsibility to provide a valid email address and to download and store your files. We’re not responsible for delivery failures caused by incorrect details or your email/spam filtering.

6. Refunds

Purchases are covered by our Refund Policy, including our 90-day money-back guarantee. Please read it for how refunds work and how to request one.

7. Intellectual property

All content on this site and in the Product — including text, templates, graphics, logos and the “Userless” brand — is owned by or licensed to Apparate Pty Ltd and is protected by intellectual property laws. Your licence to use the Product does not transfer ownership of any intellectual property to you.

8. Acceptable use

You agree not to use the site or Product unlawfully, to infringe others’ rights, to attempt to gain unauthorised access to our systems, to introduce malicious code, or to interfere with the site’s operation or security.

9. Disclaimers

The site and Product are provided “as is” and “as available”. To the extent permitted by law, we make no warranties that the Product will meet your requirements, be error-free, or produce any particular business or financial outcome. Results depend on many factors outside our control, including your market, effort and execution. See the Earnings & Results Disclaimer.

10. Limitation of liability

To the maximum extent permitted by law, Apparate Pty Ltd and its team will not be liable for any indirect, incidental, special or consequential loss, or any loss of profits, revenue, data or goodwill, arising from your use of the site or Product. Where liability cannot be excluded, our total liability is limited, at our option, to re-supplying the Product or refunding the amount you paid for it.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other law that cannot lawfully be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.

12. Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, your misuse of the Product, or your infringement of any law or third-party right.

13. Third-party links & tools

The site and Product may reference or link to third-party tools, platforms and websites. We don’t control and aren’t responsible for their content, terms or practices. Any dealings with them are between you and that third party.

14. Termination

We may suspend or terminate your access if you breach these Terms, including the licence restrictions. On termination, your right to use the Product ends, though provisions that by their nature should survive (such as intellectual property, disclaimers and liability) will continue.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
